Last Updated: February 2026

1. Introduction

Welcome to Wasleen Interior. These Terms & Conditions (“T&C”) govern the provision of all interior fit‑out, contracting, and related services (“Services”) offered by Wasleen Interior (“Company,” “We,” “Us”). By engaging our Services, the client (“Client,” “You”) agrees to be bound by these terms. These T&C form a binding agreement, ensuring clarity, accountability, and protection for both parties throughout the duration of the project.

2. Definitions

For the purposes of clarity, the following terms shall have the meanings stated herein: “Client” refers to the individual or organization commissioning the Services; “Company” refers to Wasleen Interior and its employees, subcontractors, and agents; “Services” refers to all interior design, fit‑out, contracting, supply, and installation works; “Site” refers to the location where Services are performed; “Subcontractors” are third‑party contractors engaged by the Company; and “Materials” refer to all goods, equipment, or supplies used in the execution of the project. Defining these terms ensures mutual understanding and prevents misinterpretation.

3. Scope of Services

Wasleen Interior shall provide the Services outlined in the project proposal or contract. The Company reserves the right to modify the scope with prior written approval from the Client. Services may include design, supply, installation, finishing, and maintenance of interior spaces, including but not limited to residential, commercial, and specialized fit‑out works. Any Services not explicitly included in the contract are considered additional and require separate agreement. The Company will exercise professional judgment to ensure quality and efficiency while maintaining flexibility to adapt to site‑specific requirements.

4. Project Planning & Timeline

The Company provides estimated start and completion dates; however, these are indicative and subject to adjustment due to circumstances beyond our control. Timeline changes may occur due to force majeure events, delays caused by the Client, regulatory approvals, or material supply disruptions. The Company will communicate updates through regular reports, emails, or site meetings, ensuring transparency regarding progress. The Client acknowledges that timely approvals and access to the Site are critical for maintaining the project schedule.

5. Client Obligations

The Client is responsible for providing accurate information about the Site, timely approvals of drawings, designs, material selections, and any other project‑related documentation. The Client must ensure that the Site is accessible and safe for the execution of Services, and that utilities or necessary permits are available when required. Any delays caused by the Client’s failure to comply with these obligations may result in extended project timelines and additional charges. Cooperation and timely communication are essential for seamless project execution.

6. Payment Terms

Payment terms shall be as specified in the contract or quotation. Typically, a deposit or advance payment is required to initiate the project, followed by progress payments linked to agreed milestones. The final payment is due upon project completion and client acceptance. Late payments may incur interest charges or suspension of work. All prices exclude applicable taxes, duties, or municipal fees unless otherwise stated. The Company reserves the right to suspend or terminate Services for non‑payment while retaining the right to receive payment for work already performed.

7. Quotes, Estimates & Variations

All quotes and estimates are valid for a limited period and are based on the information available at the time of issuance. They are not binding unless confirmed in writing by the Client. The Company reserves the right to adjust pricing in the event of material cost fluctuations, design changes, labor increases, or unforeseen technical requirements. Any variations must be documented, approved in writing, and may result in additional charges or schedule adjustments.

8. Materials, Equipment & Supply

Wasleen Interior shall provide high‑quality Materials and Equipment as part of the Services. The Company guarantees the authenticity and standard of materials supplied unless otherwise specified. In the event that specified materials are unavailable, the Company reserves the right to provide equivalent alternatives, subject to Client approval. The Company is not liable for defects or failures arising from client‑supplied materials, nor for any damage resulting from improper handling, storage, or misuse of materials post‑installation.

9. Subcontractors & Suppliers

The Company may engage Subcontractors or suppliers to perform specialized tasks. All subcontracted work is under the direct supervision and responsibility of Wasleen Interior. The Client acknowledges that while subcontractors are used, the Company remains fully accountable for quality, timelines, and safety. The Client shall not pursue claims against subcontractors directly but shall address all communications and claims through the Company.

10. Design & Intellectual Property

All designs, drawings, plans, and technical documents remain the property of Wasleen Interior until full payment is received. The Client is granted a limited license to use these materials solely for the project. Reproduction, sharing, or use of designs for any other purpose without written permission is strictly prohibited. The Company reserves the right to feature completed projects, images, or case studies for marketing and portfolio purposes unless confidentiality is explicitly requested and agreed in writing.

11. Warranties & Guarantees

The Company provides warranties on workmanship and company‑supplied materials, as outlined in the project contract. Standard wear and tear, misuse, modifications, or acts of God are excluded. Warranty claims must be reported promptly and in writing. The Company’s obligation is limited to repairing or replacing defective work or materials; refunds or compensation for consequential losses are excluded. Warranty periods commence from the date of final project handover.

12. Health, Safety & Site Regulations

Wasleen Interior adheres to all applicable occupational health and safety regulations. The Client is responsible for ensuring that the Site is safe, secure, and compliant with local laws. The Company shall not be liable for injuries, damages, or losses resulting from unsafe conditions or the Client’s failure to comply with safety requirements. Workers’ safety is a priority, and the Company maintains insurance coverage for its staff and operations.

13. Liability Limitations

The Company’s liability is limited to the contract value and does not extend to indirect, consequential, or incidental damages, including loss of profits or business interruptions. The Client agrees to indemnify the Company against any claims arising from negligence, misuse, or actions outside the scope of the project. The Company is not liable for delays or failures caused by events beyond its control, including force majeure occurrences.

14. Force Majeure

Wasleen Interior shall not be liable for delays or failures caused by force majeure events, including but not limited to natural disasters, pandemics, labor strikes, supply chain disruptions, governmental actions, or other unforeseeable circumstances beyond its reasonable control. In such cases, timelines and obligations shall be adjusted fairly and communicated to the Client.

15. Insurance

The Company maintains comprehensive insurance coverage for contractors’ liability, workers’ compensation, and equipment. Clients may be required to provide additional site‑specific insurance as a condition for Services. Insurance coverage protects both parties and ensures continuity in case of accidents or unforeseen incidents.

16. Termination & Suspension

Either party may terminate the contract under certain conditions. The Company reserves the right to suspend or terminate Services in cases of non‑payment, breach of T&C, unsafe or inaccessible Site, or failure to comply with project obligations. Termination requires written notice, and the Client remains liable for payment for all work completed and materials procured up to the termination date. Suspension or termination does not affect the enforceability of other T&C clauses.

17. Dispute Resolution

Any disputes arising from the project or contract shall first be addressed through negotiation and mutual agreement. If unresolved, the matter may proceed to mediation or arbitration, as agreed by both parties. In the absence of arbitration, the Dubai courts shall have exclusive jurisdiction. The governing law is the Federal Law of the United Arab Emirates and the applicable civil and commercial laws of Dubai.

18. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information, designs, pricing, and project details. Confidentiality obligations extend beyond the completion or termination of the project. Disclosure of confidential information requires written consent, except when legally mandated.

19. Privacy & Data

Wasleen Interior collects and processes client information in compliance with applicable UAE data protection regulations. Personal data is used solely for project management, communication, and marketing with explicit consent. The Company takes reasonable measures to safeguard data and may share it only with subcontractors or service providers involved in the project under strict confidentiality agreements.

20. Communications

All official communications shall be conducted via email, WhatsApp, written correspondence, or other agreed channels. Timely response from both parties is expected. The Company is not responsible for delays caused by undelivered communications or failure of the Client to respond promptly.

21. Entire Agreement

These T&C constitute the entire agreement between the Company and the Client, superseding all prior discussions, proposals, or agreements. Any amendments or variations are only valid if made in writing and signed by authorized representatives of both parties.

22. Severability

If any clause or provision is found to be invalid, unenforceable, or illegal under applicable law, such clause shall be deemed severed from the agreement, and the remaining provisions shall continue in full force and effect.

23. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of the United Arab Emirates, particularly Dubai civil and commercial laws. Any disputes not resolved amicably shall be submitted to the exclusive jurisdiction of Dubai courts, unless arbitration is mutually agreed upon.

24. Acceptance & Signatures

By commissioning Wasleen Interior for Services, the Client acknowledges that they have read, understood, and accepted these Terms & Conditions. Electronic or physical signatures are valid and binding. Both parties are encouraged to retain a signed copy for their records.
